CONSTITUTION
AND BYLAWS
Article I Organization
This organization shall be known as the Baldwin Woman ' s Club.
The purpose of the club shall fulfill the following criteria:
(1) To promote fellowship
among Baldwin Woman's Club members.
(2) To encourage and foster
an active interest in, and support for, Abraham
Baldwin Agricultural College.
(3) To generate funds for the Muryl Yow Scholarship within the meaning of Section 501 (C)(3) of the Internal Revenue Code of 1954 or the corresponding provision of any future United States Internal Revenue Law.
The powers of the organization shall be limited to provision of these
articles and the club shall not carry on any activities not permitted to be
carried on by an organization exempt from Federal Income Tax section 561 (C)(3)
of the Internal Revenue Code of 1954.
In event of dissolution of the club, its assets will be turned over to
the Abraham Baldwin Agricultural College Foundation, Inc., or to Abraham
Baldwin Agricultural College which qualify for Federal Income Tax exemption
under section 501 (C)(3) and 170 (C)(2) of the Internal Revenue Code of 1954.
Section 1: Women faculty and staff members and wives of faculty and staff members as shown in the official college directory are eligible for membership.
Section 2: Any woman previously eligible under the
specifications set forth in section one (1) of the article whose connection
with Abraham Baldwin Agricultural College has been severed by retirement or
death shall be eligible for membership.
Section 3: The
President Emeritus or wife of any President Emeritus shall be an honorary
member.

BYLAWS
Section 1: The
officers of this club shall be the President or Co-presidents, Vice‑President,
Secretary, and Treasurer.
Section 2: The
College President or President's wife shall be the Honorary President of this
club and ex-officio member of all committees.
Section 3: The
officers, the honorary president, the immediate past president or co-
presidents, and the committee chairmen shall constitute the executive board
whose quorum shall be two-thirds of the above group.
Article
II Election
of Officers
Section 1: The
club President shall appoint a nominating committee of three club members. This
committee shall report nominations at the spring meeting and the elections
shall take place at this time.
Section 2: The Executive
Board shall elect officers to fill unexpired terms.
Section 1: The
duties of the officers shall be such as usually pertain to their offices,
unless otherwise specified by these Bylaws.
Article
IV Dues
Section 1: Annual
dues shall be collected from all members of the Baldwin Woman's Club. Any
change in dues for the upcoming fiscal year shall be determined by vote of the
current members at an announced meeting to be held prior to May 31.
Section 2: The
Club's fiscal year shall extend from June 1 to May 31.
The club president or co-presidents annually shall appoint Standing committees, namely Scholarship, Telephone, Membership, Program, Fund Raising, and others deemed necessary.
The Club will hold at least two meetings a year (e.g., annual kickoff, Christmas, spring), of which one is an annual business meeting.
The Muryl Yow Scholarship will be awarded according to the rules and regulations set up by the Scholarship Committee and approved by the Baldwin Woman's Club.
The rules contained in Robert's Rules of Order, Revised, shall govern this Club in all cases in which they are not inconsistent with the Constitution and these Bylaws.
The Bylaws may be amended on second reading by a vote of two-thirds of those present and voting at an announced meeting.

President/Co-President
Presides at meetings; makes Standing and
Special Committees' appointments; sends letters to all Club members,
new women faculty/staff members, or wives of new faculty/staff members
at the beginning of each new year.
Vice President Program Chairman;
plans and carries out informative and educational programs for the Club's
meetings throughout the year; arranges meeting places; presides over meetings
when the president is absent; prepares a schedule of educational programs to be
offered to Club members during the year.
Secretary Keeps
records of all meetings and functions; responsible for reading minutes at
meetings; prepares all official Club correspondents.
Treasurer Keeps
all financial records of the Club; collects dues; makes deposits, writes checks
on the Club account; serves as Chairman of the Finance Committee; serves as
ex-officio member of the Fund Raiser Committee; prepares membership list, makes
treasurer's reports at meetings.
Honorary President ABAC’s President or Wife of
the President; ex‑officio member of all committees.
Executive Board Officers, Honorary President and Committee chairmen.

STANDING COMMITTEES
Program Three
or more people with Vice President as chairman. This committee will plan the
programs to be presented at the scheduled meetings of the Club.
Publicity Telephone
-Chairman appoints approximately six group leaders, each with a group of
Club members to contact; contacts each group leader about 1 1/2 -2 weeks prior
to meeting; group leaders then contact their group members.
Focus -Chairman
places Club schedule on ABAC calendar and any special announcements in FOCUS.
Radio and Newspaper -Chairman
arranges to have any photography from desired news media when needed; places
articles in paper each time scholarship is awarded.
Scholarship Chairman
and four other committee members (at least two faculty and two non-faculty); each
person serves two years; each year new members are appointed as needed to fill
positions left vacant by members who have completed their two year appointment.
Committee selects scholarship recipient two terms of enrollment from
applicants applying each term of enrollment; the recipient will receive
sufficient funding for one term of enrollment's tuition; chairman calls meeting
no more than four weeks prior to start of term of enrollment and notifies each
applicant of his award at least two weeks prior to the start of the term of
enrollment. The recipient will be chosen based on his/her academic record and
financial need regardless of race, creed, sex, or national origin.
Special Events Chairman and a
committee to be selected by chairman; will consider and recommend what action
the Club should take on requests presented to the Club after the year's work
has been programmed.
Hospitality and Membership Chairman and
committee members appointed by chairman contact all new women faculty and
staff.
Finance Treasurer Serves as chairman; other
members include President, Fund Raising Project Chairman, and/or others.
Advises Treasurer on use of funds.
Fund Raising Project Chairman and four committee
members. Treasurer is ex-officio member. Chairman is member of Finance
Committee. Plans and carries out fundraisers to support the Muryl Yow
Scholarship Fund.
Nomination Committee Committee of three appointed by
the president. Committee shall report nominations of officers at the spring
meeting.
